Acceptance of Terms
By accessing and using the services provided by technastar Ltd ("technastar", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and technastar regarding your use of our spa client experience analytics dashboards, website, and related services. If you do not agree to these Terms, you must not access or use our services.
Description of Services
technastar provides spa client experience analytics dashboards and related business intelligence services designed specifically for the beauty and spa industry. Our services include but are not limited to client journey analytics, performance metrics dashboards, staff productivity insights, revenue optimisation tools, and custom reporting solutions. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
User Obligations
As a user of technastar services, you agree to:
- Provide accurate and complete information when creating your account
- Maintain the confidentiality of your login credentials
- Use our services only for lawful business purposes
- Comply with all applicable laws and regulations
- Respect the intellectual property rights of technastar and third parties
- Not attempt to gain unauthorised access to our systems or other users' data
- Not use our services to transmit harmful, offensive, or illegal content
- Notify us immediately of any suspected security breaches
Account Registration and Security
To access our analytics platforms, you must create an account with accurate information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other security breach. technastar will not be liable for any loss or damage arising from your failure to protect your account information.
Data and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and processing of your data as described in our Privacy Policy. You represent and warrant that you have the necessary rights and permissions to provide any data you upload or integrate with our analytics platforms.
Payment Terms
Our services are provided on a subscription basis with fees payable in advance. Payment terms are specified in your service agreement or invoice. Failure to pay fees when due may result in suspension or termination of your access to our services. All fees are non-refundable unless otherwise specified in writing. We reserve the right to change our pricing with 30 days' notice.
Intellectual Property
The technastar platform, including all software, analytics algorithms, dashboards, reports, and related materials, is protected by intellectual property laws and is the exclusive property of technastar or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our services, nor may you reverse engineer or attempt to extract the source code of our software.
User-Generated Content
You retain ownership of any data, content, or materials you provide to our services. By uploading or providing content, you grant technastar a non-exclusive licence to use, process, and analyse such content solely for the purpose of providing our analytics services to you. We do not claim ownership of your business data or client information.
Service Availability
We strive to maintain high service availability but cannot guarantee uninterrupted access to our platforms. Scheduled maintenance, system updates, and unforeseen technical issues may occasionally affect service availability. We will provide reasonable notice of planned maintenance whenever possible.
Limitation of Liability
To the maximum extent permitted by law, technastar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claim arising from or relating to these Terms or our services shall not exceed the amount paid by you to technastar in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless technastar, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services, your violation of these Terms, or your infringement of any rights of another party.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. technastar disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
Termination
Either party may terminate these Terms and your access to our services at any time with reasonable notice. technastar may terminate your access immediately if you breach these Terms or engage in activities that could harm our services or other users. Upon termination, your right to use our services will cease immediately, and we may delete your account and data in accordance with our data retention policies.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are located outside the United Kingdom, you consent to the jurisdiction of English courts for the resolution of any disputes.
Dispute Resolution
We encourage you to contact us directly to resolve any disputes or concerns. If a dispute cannot be resolved through direct communication, both parties agree to attempt resolution through mediation before pursuing litigation. Any legal proceedings must be commenced within one year of the dispute arising.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. The failure of either party to exercise any right or provision of these Terms will not constitute a waiver of such right or provision.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms specific to certain services, constitute the entire agreement between you and technastar regarding the use of our services. These Terms supersede all prior or contemporaneous communications and proposals between the parties.
